Terms of Use

These Terms of Use (the “Agreement”) are between TeachThis Limited, a company incorporated in Hong Kong with company number 70008355 (“TeachThis,” “we,” “us,” or “our”), and you, the individual or legal entity using the Service (“Client” or “you”). The Service is intended for professional educators and educational institutions.
By creating an account at www.teach-this.com or using the Service, you agree to this Agreement. Please save a copy for your records.
1. Definitions
Account: The account created by the Client to access and use the Service.
Agreement: These Terms of Use, your Subscribed Plan, our Privacy Policy, and any additional written terms agreed by the Parties.
Client: The professional educator or legal entity (e.g., school) that enters into this Agreement and whose details are associated with the Account.
Institution: A school or educational institution purchasing the Service for multiple educators.
School Site: A single physical school campus and its associated online environments (e.g., that school’s password-protected LMS and restricted-access cloud storage).
Seat: One named individual educator authorized to access the Service under an Institution’s Subscribed Plan.
Client Content: Any content you upload, submit, or provide to the Service (e.g., account info, submissions, feedback).
Materials: Lesson plans, worksheets, activities, printables, and other content TeachThis makes available through the Service.
Personal Data: Any information relating to an identified or identifiable natural person.
Service: Access to and use of the TeachThis Solution and Materials via www.teach-this.com in accordance with this Agreement.
Subscribed Plan: The membership plan you select (e.g., three (3) months, six (6) months, or one (1) year), including any specified number of Seats.
TeachThis Solution: The TeachThis website, software, and related applications and services we provide.
eBook: A digital PDF book or compilation of Materials sold by TeachThis as a one-time purchase to individual teachers only.
2. Amendments
We may amend this Agreement from time to time by posting updated terms on www.teach-this.com and changing the “Last Updated” date. Your continued use after changes take effect means you accept the updated terms.
3. Purpose and License
Subject to your timely payment of fees and compliance with this Agreement, TeachThis grants you a limited, non-exclusive, non-transferable license to access and use the Service and to download, print, reproduce, and make classroom adaptations of the Materials solely for educational purposes, as follows:
Individual teacher licenses:
If you (the teacher) personally paid for the Subscribed Plan, the license is personal to you and moves with you if you change schools.
If your employer (e.g., a school) paid for the Subscribed Plan, the license belongs to that employer and does not move with you if you leave.
Institution licenses (single-school, seat-based):
The license applies to one School Site and the number of Seats specified in your order. Use across multiple schools, campuses, or districts requires separate licenses.
Each Seat is for one named teacher with their own login. Seats may be reassigned when a teacher leaves or roles change. Seats may not be shared or rotated to circumvent the Seat count.
Distribution to students and staff:
You may share Materials with your students and relevant staff within your own classroom(s) or, for Institutions, within the School Site.
You may upload Materials to a password-protected LMS or secure, access-restricted cloud storage controlled by you or the Institution, provided access is limited to your students and relevant staff at the School Site and reasonable steps are taken to prevent public access or onward sharing.
4. Refund Policy
Because the Service is digital, all fees are non-refundable and non-exchangeable, to the maximum extent permitted by law. This does not affect any rights you may have that cannot be excluded under applicable law. One-time purchases of eBooks are non-refundable and non-exchangeable.
5. Term; Renewal; Cancellation
Term:
This Agreement starts when you create an Account and continues until terminated under this Agreement. The minimum duration matches your Subscribed Plan (three (3) months, six (6) months, or one (1) year).
Auto-Renewal:
Your Subscribed Plan renews automatically for successive periods of the same duration unless canceled.
How to cancel:
You may cancel renewal (i) through your account settings; or (ii) by canceling the recurring payment in your payment platform (e.g., Visa, Mastercard, PayPal). If you cannot cancel using those methods, you may email
Timing:
To avoid the next renewal, submit cancellation at least five (5) Business Days before the end of your current term. For these purposes, “Business Days” means Monday to Friday, excluding public holidays in your location.
Effect of cancellation:
Cancellation stops renewal at the end of the current term. We do not provide refunds or credits for partial periods. If cancellation occurs fewer than five (5) Business Days before the end of the term, the next renewal may still be processed; in that case, cancellation will take effect at the end of the following term.
Data on termination:
When your Subscribed Plan ends, your Account will be deactivated and Client Content stored in the Service will be deleted, subject to legal retention requirements. This does not affect your perpetual license to any eBooks you have purchased. However, download links or hosted copies in your Account may no longer be available after termination, so you should securely store your own copies. We will reasonably assist with reissuing download access to the email associated with your purchase, subject to availability.
6. Intellectual Property; Use of Materials
Ownership:
TeachThis and its licensors own the TeachThis Solution, the Materials, and the eBooks. No ownership rights are transferred to you.
Permitted educational use:
During an active Subscribed Plan, you may download, print, reproduce, and create classroom adaptations of the Materials, and distribute them to your students (and relevant staff) within your own classroom(s) or, for Institutions, within the School Site. This includes uploading Materials to a password-protected LMS or secure, access-restricted cloud storage as described in Section 3.
Post-subscription use (PDFs):
After your subscription ends, you may continue to use copies of Materials you previously downloaded and adapted indefinitely, but you may not download new Materials. All ongoing license restrictions in this Agreement continue to apply to those copies (including no public posting or resale). We cannot technically prevent use of previously downloaded PDFs after termination, but your obligations here remain in force.
Prohibited uses:
You may not (a) sell, license, or commercially distribute the Materials as standalone products; (b) share Account logins; (c) remove or alter copyright notices, trademarks, or attribution; (d) post or share Materials publicly on the internet (including public drives or websites) or outside password-protected educational environments; (e) create derivative works other than classroom adaptations; or (f) use the Materials to create competing educational products.
6A. One-time Purchases (PDF eBooks)
Availability:
eBooks are offered only to individual teachers. They are not licensed for institution-wide or multi-teacher use. If multiple teachers wish to use an eBook, each teacher must purchase their own copy.
License on purchase:
Upon full payment for an eBook, TeachThis grants the purchasing teacher a perpetual, personal, non-exclusive, non-transferable license to use that eBook as set out in this Section. The license is tied to the named teacher and is not a seat-based or site license.
Portability:
The eBook license is personal to the purchasing teacher and moves with that teacher if they change schools.
Permitted educational use:
The teacher may print, reproduce, and make classroom adaptations of the eBook content, and distribute it to their own students (and relevant support staff for those classes). The teacher may upload the eBook or extracts to a password-protected LMS or secure, access-restricted cloud storage controlled by the teacher or their school, provided access is limited to the teacher’s students and relevant staff for those classes and reasonable steps are taken to prevent public access or onward sharing. Reasonable backup copies are permitted.
Prohibited uses:
The teacher may not (a) sell, license, or commercially distribute the eBook or its contents as standalone products; (b) share the eBook with other teachers or departments; (c) post or share the eBook publicly on the internet (including public drives or websites) or outside password-protected educational environments; (d) remove or alter copyright, trademarks, or attribution; (e) create derivative works other than classroom adaptations; or (f) use the eBook to create competing educational products.
Updates and replacements:
eBooks are sold “as is.” Updates or new editions are not included unless stated at purchase. If a file is corrupted or a download link fails, we will reasonably assist in providing a working copy to the email associated with the purchase.
Conflict:
If there is any conflict between this Section 6A and Section 6, this Section 6A controls for eBooks.
7. Client Obligations
You agree to: (a) provide accurate information; (b) keep your login secure and be responsible for activity under your Account; (c) comply with laws and this Agreement; (d) not interfere with or disrupt the Service; and (e) not upload or share content that infringes rights or violates law.
8. Disclaimers; Limitation of Liability
Disclaimers:
To the maximum extent permitted by law, the Service, TeachThis Solution, Materials, and eBooks are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that the Materials or eBooks will meet your specific needs.
Limitation of liability:
To the maximum extent permitted by law: (a) neither Party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill; and (b) each Party’s total aggregate liability for all claims arising out of or related to this Agreement will not exceed the total fees paid by you to TeachThis under this Agreement in the twelve (12) months preceding the event giving rise to the claim. These limits apply regardless of the legal theory and even if a Party has been advised of the possibility of such damages. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by applicable law.
9. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over disputes arising out of or related to this Agreement.
10. Entire Agreement
This Agreement is the entire agreement between the Parties regarding its subject matter and supersedes all prior or contemporaneous agreements or communications.
11. Termination for Cause
Either Party may terminate this Agreement by written notice if the other Party materially breaches this Agreement and fails to cure within thirty (30) days of notice specifying the breach, or if the other Party becomes insolvent, bankrupt, or subject to similar proceedings. Upon termination, your right to use the Service ends immediately, and you must stop using the TeachThis Solution and Materials except as permitted in Section 6 (post-subscription use of previously downloaded PDFs). Termination does not relieve payment obligations incurred before the termination date.
12. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
13. Waiver
Failure to enforce any provision is not a waiver of future enforcement of that or any other provision.
14. Assignment
You may not assign or transfer this Agreement or your rights or obligations without our prior written consent. We may assign or transfer this Agreement, in whole or in part, without your consent.
15. Relationship of the Parties
The Parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, or employment relationship.
16. Force Majeure
We are not liable for delays or failures due to causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, natural disasters, or internet service interruptions.
17. Survival
Sections 4, 6, 6A, 8, 9, 10, 11, 12, 13, 14, 16, 17, 18, 19, 20, and 21 survive termination to the extent necessary to give effect to their terms.
18. Confidentiality
Each Party may receive confidential information of the other Party. The receiving Party will use such information only to perform this Agreement, protect it with reasonable care, and not disclose it to third parties except to personnel and advisors under confidentiality obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving Party, was known without restriction before disclosure, is independently developed without use of the confidential information, or must be disclosed by law (with prompt notice where lawful).
19. Indemnification
You will indemnify and hold TeachThis and its affiliates, directors, officers, employees, and agents harmless from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service, Materials, or eBooks in violation of this Agreement or law; or (b) Client Content you provide.

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect Personal Data.
